Below you will find the Terms of Use that each individual user of the course must agree to abide to followed by a copy of the Institutional Subscriber Agreement agreed that also defines terms of your use and has been agreed to by your Administration prior to your enrollment in any course.

Acceptance of the Terms of Use

These terms of use are entered into by and between You and Archambault Consulting, LLC (”Company,” “we,” or “us”). The following terms and conditions, together with the End User License Agreement (collectively, “Terms of Use”), govern your access to and use of archambaultconsulting.com, including any content, functionality, and services offered on or through archambaultconsulting.com (the “Website”).


Please read the Terms of Use carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://resources.archambaultconsulting.com/pages/privacy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.

This Website is offered and available to (1) users who are 18 years of age or older; and (2) are either (a) program faculty at physician assistant (“PA”) programs, or (b) received written permission from Archambault Consulting, LLC. By using this Website, you represent and warrant that you are 18 years of age or older and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website without express written permission from the Company.


Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter.

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.


Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule (whether of the State of North Carolina or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.


Arbitration

At Company’s sole discretion, it may require You to submit any disputes arising from these Terms of Use or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying North Carolina law.


Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.


Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.


Entire Agreement

The Terms of Use, our Privacy Policy, and the Subscriber Agreement constitute the sole and entire agreement between you and Archambault Consulting, LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.


 Institutional Subscriber Agreement 

Note: Your specific Institutional Subscriber Agreement is available from your program director.

This Subscription Agreement  (“Agreement”) is entered on  DATE ON FILE, (“Effective Date”) between Archambault Consulting, LLC, a North Carolina limited liability company with its principal place of business in Lewisville, NC, and with mailing address at Suite 280, 116 Lowes Foods Dr., Lewisville, NC  27023 (“Provider”), and LEGAL CUSTOMER NAME ON FILE with its principal place of business at CUSTOMER ADDRESS ON FILE (“Customer”), individually referred to in this Agreement as a “Party” and collectively as the “Parties.”

In consideration of the benefits and obligations exchanged in this Agreement, the Parties agree as follows:

1. Definitions

a. Affiliate means any entity which directly or indirectly controls, is controlled by, or is under common control of Customer.

b. Agreement means these terms and conditions, any order forms, and any documentation incorporated by reference.

c. Provider Technology means all Provider proprietary technology made available to Customer in providing the Hosted Service.

d. Content means the information, documents, software, products and services made available to Customer.

e. Customer Data means any data, information, or material provided by Customer to the Hosted Service.

f. Hosted Service means Provider’s online service accessed at a web site or IP address designated by Provider, which Customer is being granted access to under this Agreement.

g. Intellectual Property Rights means patent rights, design rights, copyrights, trademarks, service marks, trade names, domain name rights, know-how, and all other intellectual property rights, derivatives thereof as well as other forms of protection of a similar nature.

2. License Grant & Restrictions. Provider hereby grants Customer a non-exclusive, non-transferable, worldwide right to use the Hosted Service, solely for its own internal business purposes, subject to the terms and conditions of this Agreement.

Customer agrees not to: (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise make available to any third party the Hosted Service; (ii) modify or make derivative works based upon the Hosted Service; or (iii) reverse engineer the Hosted Service.

Customer will not: (i) knowingly send or store infringing, obscene, libelous or otherwise unlawful or tortious material to the Hosted Service; (ii) knowingly send or store material containing viruses, worms, Trojan horses or other harmful computer code, files, or programs to or from the Hosted Service; (iii) interfere with or disrupt the integrity or performance of the Hosted Service; (iv) attempt to gain unauthorized access to the Hosted Service or its systems or networks; or (v) use the Hosted Service in violation of applicable law.

3. Customer Responsibilities. Customer is responsible for all activity occurring under Customer user accounts and will abide by all applicable laws, treaties and regulations in connection with its use of the Hosted Service.

4. Customer Data. Provider does not own any Customer Data. Customer Data is Customer’s proprietary and confidential information and will not be accessed, used or disclosed by Provider except for the limited purpose of supporting Customer’s use of the Hosted Service. Customer, has sole responsibility for the accuracy, legality, reliability, and intellectual property ownership to use the Customer Data.

5. Intellectual Property Ownership. Provider owns all right, title and interest, including all related Intellectual Property Rights, in and to the Provider Technology, Content and the Hosted Service. This Agreement is not a sale and does not convey any rights of ownership in the Hosted Service.

6. Privacy. Provider’s privacy policy is available on Providers website. Provider may modify this policy in its reasonable discretion from time to time with notice to Customer.

7. Charges and Payment of Fees. Customer will pay all fees and charges in accordance with the terms contained in each order form. All fees and charges are non-refundable.

8. Billing and Renewal. Customer will pay Provider in advance for use of the Hosted Service. Upon the expiration of a Term, the Term will automatically renew for an additional one-year period (a “Renewal Term”). Provider’s fees are exclusive of all taxes, levies, or duties.

9. Termination. Customer may terminate this Agreement by notifying Provider in writing at least 30 business days prior to the expiration of that term. Provider reserves the right to terminate this Agreement effective as of the end of the then-current Term by 30 days advance notice thereof.

10. Termination for Cause. Any breach of Customer’s payment obligations or unauthorized use of the Hosted Service will be deemed a material breach of this Agreement. Provider may terminate this Agreement, Customer account, or Customer’s use of the Hosted Service if Customer commits a material breach of this Agreement or otherwise fails to comply with this Agreement, and such breach has not been cured within 5 business days after notice of such breach.

11. Representations & Warranties. Each party represents and warrants that it has the legal power and authority to enter into this Agreement. Provider represents and warrants that (a) it will provide the Hosted Service in a manner consistent with general industry standards; (b) the Hosted Service will perform substantially in accordance with the provided documentation; (c) it will use best efforts to detect software viruses and other undesirable components and will promptly take all reasonable steps to remove or neutralize any such components; and (d) it will use leading commercial encryption technology designed to encrypt Customer Data in its possession.

12. Mutual Indemnification. Customer will indemnify, defend and hold Provider, and each such party’s affiliates, officers, directors, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses arising out of or in connection with: (i) a claim by a third party alleging that use of the Customer Data infringes the Intellectual Property Rights of a third party; provided in any such case that Provider (a) promptly gives Customer written notice of the claim; (b) gives Customer sole control of the defense and settlement of the claim; and (c) provides Customer all available information and assistance.

Provider will indemnify, defend and hold Customer and Customer affiliates, officers, directors, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses arising out of or in connection with: (i) a claim by a third party alleging that the Hosted Service directly infringes an Intellectual Property Right of a third party; provided that Customer (a) promptly give written notice of the claim to Provider; (b) give Provider sole control of the defense and settlement of the claim; and (c) provide Provider all available information and assistance. Provider will have no indemnification obligation, and Customer will indemnify Provider.

13. Disclaimer. THE REPRESENTATIONS AND WARRANTIES PROVIDED IN THIS AGREEMENT ARE PROVIDER’S COMPLETE AND EXCLUSIVE REPRESENTATIONS AND WARRANTIES. PROVIDER DISCLAIMS ALL OTHER REPRESENTATIONS, WARRANTIES AND GUARANTIES OF ANY KIND.

14. Limitation of Liability. EXCEPT FOR CLAIMS ARISING UNDER A PARTY’S OBLIGATIONS OF CONFIDENTIALITY OR INDEMNIFICATION UNDER THIS AGREEMENT, NEITHER PARTY’S AGGREGATE LIABILITY WILL EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM, AND NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND ARISING FROM CUSTOMER’S USE OF THE HOSTED SERVICE.

15. Notice. Provider may give notice by means of an electronic mail to Customer’s e-mail address on record with Provider. Any other notice to be given to either party shall be deemed to have been duly given if in writing and delivered personally or mailed by first-class, registered, or certified mail, postage prepaid and addressed (when intended for Customer) to CUSTOMER ADDRESS ON FILE or (when intended for Provider) to Suite 280, 116 Lowes Foods Dr., Lewisville, NC 27023.

16. Assignment. This Agreement may not be assigned by either party without the prior written consent of the other party, which will not be unreasonably withheld, but may be assigned without the other party’s consent to (i) a parent or subsidiary; (ii) an acquirer of assets or equity or (iii) a successor by merger. Any purported assignment in violation of this section will be void.

17. General. This Agreement will be governed by laws of the state of North Carolina law without regard to the choice or conflicts of law provisions of any jurisdiction. If any provision of these terms and conditions is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision will be construed to reflect the intentions of the invalid or unenforceable provision, with all other provisions remaining in full force and effect. No joint venture, partnership, employment, or agency relationship exists between Customer and Provider as a result of this Agreement. The failure of Provider to enforce any right or provision in this Agreement will not constitute a waiver of such right or provision unless acknowledged and agreed to by Provider in writing. This Agreement comprises the entire agreement between Customer and Provider and supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding the subject matter contained herein.
